Terms of Service

Acceptance
By creating an account or accessing SynapseData, you agree to these Terms of Service, our Privacy Policy, and our Research Data Use Agreement. If you do not agree, do not use the service.
Service Description
SynapseData provides QEEG data analysis tools for licensed clinical practitioners. The platform is intended as an aid to clinical judgment, not a replacement for professional medical assessment. SynapseData does not provide medical diagnoses, treatment recommendations, or clinical advice.
Subscriptions and Billing
Paid access to SynapseData is offered on recurring subscription plans (monthly and yearly). Payments are processed by Clover (a Fiserv company); by subscribing you also agree to Clover’s applicable terms. The following apply to all paid subscriptions:
- Auto-renewal. Your subscription renews automatically at the end of each billing period (monthly or yearly) and your stored card is charged the then-current plan price until you cancel.
- Authorization. By subscribing you authorize SynapseData and Clover to store your card and charge it on the recurring schedule. Your full card number is never stored by SynapseData.
- Cancellation. You may cancel at any time from Settings → Billing. Cancellation takes effect at the end of the current billing period; access continues until then.
- Failed payments. If a renewal payment is declined, your access may be suspended until payment is brought current. We may attempt to recover a declined payment by re-charging your card on file.
- Price changes. We may change subscription prices with advance notice; changes apply to the next billing period.
- Refunds. Except where required by law, subscription fees are non-refundable.
Eligibility
SynapseData is intended for use by licensed healthcare practitioners and their authorized staff. By creating an account, you represent that you are authorized to collect, process, and upload QEEG data in your professional capacity and that your use complies with all applicable professional licensing requirements.
User Responsibilities
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account, including activity by any staff or colleagues to whom you provide access to your credentials. Do not share your credentials with individuals outside your practice or organization.
- Uploading only QEEG data you are authorized to process
- Obtaining any patient authorizations required by your jurisdiction and professional standards
- Ensuring your use of the platform complies with applicable law
- Keeping your concurrent active sessions within the platform limit of 5. If the limit is reached, new logins are blocked until an existing session is revoked from Settings → Active Sessions.
Prohibited Uses
You may not use SynapseData to:
- Upload data you are not authorized to process
- Attempt to reverse-engineer, scrape, or circumvent platform security
- Upload malicious files or content intended to disrupt the service
- Share your account credentials with individuals outside your clinical practice or organization
- Use automated scripts or bots to maintain persistent login sessions
- Use the platform in any way that violates applicable law or professional regulations
Intellectual Property
You retain all rights to the QEEG data and clinical records you upload. By uploading data, you grant SynapseData a limited license to process and store that data solely to provide the services described in these terms and, unless you have opted out, the Research Data Use Agreement.
SynapseData retains all rights to the platform, its software, statistical models, and analysis tools. Nothing in these terms transfers ownership of platform intellectual property to you.
HIPAA
SynapseData is designed to avoid storing Protected Health Information (PHI) as defined by HIPAA. The platform stores only clinician-assigned identifiers, not real patient names or direct identifiers. SynapseData does not act as a HIPAA Business Associate with respect to the data stored on the platform. You are solely responsible for maintaining your own HIPAA compliance, including any required patient authorizations.
Termination
You may close your account at any time by contacting info@synapsedata.org. SynapseData may suspend or terminate your account immediately if you violate these terms, engage in prohibited conduct, or if continued access poses a security or compliance risk. We will provide notice where reasonably practicable.
Limitation of Liability
SynapseData is provided “as is” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or clinically accurate.
To the maximum extent permitted by applicable law, SynapseData's total liability to you for any claim arising out of or related to these terms or the service shall not exceed the greater of (a) the amount you paid to SynapseData in the twelve months preceding the claim, or (b) $100 USD.
In no event shall SynapseData be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, lost profits, or damages arising from clinical decisions made based on platform outputs, even if advised of the possibility of such damages.
Indemnification
You agree to indemnify and hold harmless SynapseData and its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the platform, your violation of these terms, or your upload of data you were not authorized to process.
Changes to These Terms
We may update these terms from time to time. Material changes will be communicated by email to your registered address at least 14 days before taking effect. Continued use of the platform after the effective date constitutes acceptance of the updated terms.
Governing Law
These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising from these terms shall be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
General
If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force. Our failure to enforce any provision does not waive our right to enforce it in the future. These terms, together with our Privacy Policy and (if applicable) the Research Data Use Agreement, constitute the entire agreement between you and SynapseData with respect to your use of the platform.
